By engaging Medisol Practice Solutions ("Company," "we," "us," or "our") for billing, accounting, compliance, or personnel management services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Medisol Practice Solutions.

2. Services Provided

Medisol Practice Solutions provides the following services to healthcare practices:

  • Revenue cycle management and claims processing
  • Personnel management and HR compliance
  • Tax preparation and compliance services
  • Credentialing and licensing management
  • Financial reporting and accounting services
  • Regulatory compliance support

3. Client Responsibilities

As our client, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Maintain current professional licenses and certifications
  • Comply with all applicable healthcare regulations and laws
  • Provide secure access to necessary systems and documentation
  • Review and approve billing submissions in a timely manner
  • Pay all fees according to the agreed payment schedule

4. Payment Terms

Billing and Payment

  • Services are billed monthly in advance unless otherwise agreed
  • Payment is due within 30 days of invoice date
  • Late payments may incur a 1.5% monthly service charge
  • Services may be suspended for accounts 60+ days overdue

7. Limitation of Liability

8. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

  • All outstanding fees become immediately due
  • We will provide transition assistance for up to 60 days
  • Client data will be securely returned or destroyed per your instructions
  • Confidentiality obligations continue indefinitely

9. Intellectual Property

All proprietary systems, processes, and methodologies developed by Medisol Practice Solutions remain our intellectual property. Client data and practice-specific information remains the property of the client.

10. Dispute Resolution

Any disputes arising from these Terms will be resolved through mediation and, if necessary, arbitration in accordance with South African law. The prevailing party may recover reasonable attorney fees and costs.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, government actions, pandemics, or system failures.

12. Modifications

We reserve the right to modify these Terms with 30 days notice. Continued use of our services after modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles.
